Artificial intelligence company Genius Group (GNS.US) has pivoted its strategic focus toward rebuilding its Bitcoin cash reserves, announcing plans to relaunch its treasury accumulation program through a new securities issuance. The initial funding phase reveals that the company intends to sell $12.5 million worth of perpetual preferred shares, according to market data. These instruments are non-convertible and will not dilute common equity, with the associated risk carried by preferred shareholders.

Holders of these preferred shares will be entitled to monthly dividend payments and liquidation distribution rights, positioning them ahead of common stockholders in the capital structure. The design of this structure is intended to avoid immediate dilution of common shares, although the precise cost of capital remains to be determined.

Looking at the longer-term horizon, Genius Group (GNS.US) projects its reserve holdings will reach $827 million by the 2031 fiscal year. The initial capital raise covers just 1.51% of that target, leaving a substantial $814.5 million gap that will require subsequent financing rounds to achieve the overall reserve objective. This massive shortfall indicates that a single funding event cannot solve the problem, placing significant pressure on future fundraising efforts.

Bridging this funding chasm will necessitate multiple preferred stock issuances or alternative financing methods, with each round's scale dwarfing the initial offering size. The magnitude of each issuance will depend on investor demand at the time. Key offering documents are expected to disclose specific interest rates, pricing terms, fundraising amounts, and capital allocation strategies, rather than merely outlining upper limits on the program.
