China Resources Gas Group Limited (CHINA RES GAS) announced a broad refresh of its independent non-executive director (INED) lineup and related Board committee roles, effective 27 March 2026.
Key changes
1. INED retirements • Mr Wong Tak Shing and Mr Yu Hon To, David will not stand for re-election at the forthcoming Annual General Meeting and will retire as INEDs at its conclusion. • Both executives have already stepped down from their committee posts: – Mr Wong: chairman, Remuneration Committee; member, Audit & Risk Management, Nomination, and ESG Committees. – Mr Yu: chairman, Audit & Risk Management Committee; member, Remuneration and Nomination Committees. • Both retirees confirmed no disagreement with the Board and no matters requiring shareholder attention.
2. New INED appointments • Mr Stephen Cheuk Kin Law (aged 63) joins as INED, becomes chairman of the Audit & Risk Management Committee, and member of the Remuneration and Nomination Committees. A CPA and former senior executive at multiple blue-chip corporates, Mr Law will receive an annual director’s fee of HK$0.30 million and serve a three-year term subject to rotation. • Mr Liu Bin (aged 40) joins as INED and member of the Audit & Risk Management, Nomination and ESG Committees. An academic specialist in commercial and banking law, Mr Liu will also receive an annual director’s fee of HK$0.30 million and serve a three-year term subject to rotation.
3. Further committee adjustments • Mr Yang Yuchuan, existing INED, steps down from the Nomination Committee and becomes chairman of the Remuneration Committee. • Mr Li Pok Yan, existing INED, joins the Nomination Committee.

The Board conveyed formal gratitude to the retiring INEDs for their service and extended a welcome to the new appointees.
