CHALCO's Logistics Unit to Acquire Majority Stake in Yunnan Aluminium's Logistics Arm

CHALCO (02600) announced that on April 2, 2026, Yunnan Aluminium Co., Ltd. and CHALCO Logistics entered into a share transfer agreement. Under the agreement, CHALCO Logistics will acquire a 51% stake in Yunnan Aluminium Logistics from Yunnan Aluminium Co., Ltd. via a non-public agreement for cash. Following the acquisition, CHALCO Logistics and Yunnan Aluminium Co., Ltd. will hold 51% and 49% of Yunnan Aluminium Logistics, respectively. Yunnan Aluminium Logistics will become a subsidiary of CHALCO Logistics, and its financial results will be consolidated into CHALCO Logistics' accounts. Yunnan Aluminium Logistics is currently under the trusteeship of CHALCO Logistics. The acquisition will unify CHALCO Logistics' ownership and management rights over Yunnan Aluminium Logistics, while Yunnan Aluminium Logistics will be able to leverage CHALCO Logistics' platform to enhance its business capabilities and market competitiveness. Additionally, the acquisition will allow CHALCO Logistics to complete its logistics business footprint in the southwestern region and finalize the integration of all logistics operations within the group.
