Nayuki Repurchases 12.48 Million Shares in October; Treasury Stock Rises to 3.76% of Issued Capital While Public Float Stays Compliant

Bulletin Express11-05 17:02

Nayuki Holdings Limited reported that during October 2026 it repurchased 12.48 million ordinary shares, moving them into treasury. As a result, issued shares outstanding (excluding treasury stock) declined to 1.64 billion, down 0.73% from 1.66 billion at end-September. Total issued share capital remained unchanged at 1.71 billion shares, as all repurchased shares were retained in treasury rather than cancelled.

The monthly buy-back activity lifted Nayuki’s treasury share balance to 64.13 million, representing 3.76% of total issued shares. All October repurchases were executed under the general mandate approved on 24 June 2026, which has facilitated cumulative buy-backs of 54.99 million shares between 25 June and 28 October 2026.

Authorised share capital was unchanged at 5.00 billion ordinary shares with a par value of USD 0.00005 each, equivalent to USD 0.25 million.

Despite the increased treasury position, Nayuki confirmed that its public float continues to satisfy Hong Kong Main Board Rule 13.32B, exceeding the initial prescribed threshold of 24.86% of issued shares (excluding treasury stock) as at 31 October 2026.
