MTR Corporation Updates Governance Framework; Details New Audit & Risk Committee Mandate

MTR Corporation Limited released updated Common Terms of Reference for all Board Committees and Advisory Panels, together with an expanded Appendix outlining the specific remit of its Audit & Risk Committee (ARC).

1. Board-Level Structure • All committees and advisory panels are formally constituted by the Board, with a majority of each body required to be independent non-executive directors (INEDs). • Committee chairmanships are appointed by the Board; alternate members may be nominated when regular members are unavailable.

2. Meeting Protocols • Each committee sets its own schedule but must meet no fewer times than stipulated in the relevant appendix. • Written resolutions signed by all members or electronic approvals carry the same authority as in-person votes. • Agendas and papers must reach members at least three working days before any meeting.

3. Information & Oversight Rights • Committees may request any information from management and advisers necessary to fulfil their duties. • External professional advice may be sought with prior approval from the Company’s Chairman, unless circumstances render such approval inappropriate. • Committees are not involved in day-to-day management but focus on oversight and governance.

4. Audit & Risk Committee—Core Parameters • Composition: Minimum four non-executive directors; at least one must possess professional accounting or financial management expertise as required by Hong Kong Listing Rule 3.10(2). Former partners or employees of the Company’s incumbent external auditor face a two-year cooling-off period before joining. • Chair: Must be an INED. • Quorum: Three members, including at least two INEDs. • Meeting Frequency: At least once every quarter; the external auditor may request a meeting if necessary. • Mandatory Private Session: The ARC meets the external auditor at least annually without management present.

5. ARC Responsibilities • External Audit: Recommend appointment, re-appointment or removal of the external auditor; approve audit fees and engagement terms; monitor independence; pre-approve all audit and non-audit services; oversee partner rotation. • Financial Reporting: Review integrity of annual, half-year and, if prepared, quarterly Financial Documents, focusing on accounting policy changes, major judgments, significant adjustments, going-concern assumptions and regulatory compliance. • Internal Control & Risk Management: Conduct at least annual reviews of financial and internal control systems, oversee the internal audit function, evaluate the “Three Lines Model” and crisis-management arrangements, and monitor whistle-blowing mechanisms. • Enterprise Risk Oversight: Assess the Company’s risk-management framework, review reports on enterprise and emerging risks, and ensure appropriate staffing and effectiveness of risk management functions.

6. Reporting & Disclosure • Detailed minutes will be maintained and circulated promptly to committee members and, on request, to the full Board. • An annual summary of each committee’s work will be incorporated into the Company’s annual report in line with Hong Kong Stock Exchange requirements.

The revised framework strengthens MTR Corporation’s governance architecture by clarifying committee compositions, enhancing oversight of audit quality, and formalising enterprise risk-management responsibilities.
