Bulletin Express10-15

Scholar Education Group (Scholar Edu) disclosed that the trustee of its share award scheme acquired 101,000 shares on-market on 15 October 2026. The purchase represents approximately 0.015 % of the company’s issued share capital.

The shares were bought at an average price of about HK$0.77, bringing the total cash consideration to roughly HK$0.08 million (excluding transaction costs). Following the transaction, the trustee’s holding increased to 52.56 million shares, equivalent to 7.80 % of Scholar Education Group’s outstanding shares.

The board reiterated its view that the current market price undervalues the company’s fundamentals and stated that the newly acquired shares will be reserved for future grants under the share award scheme. Management will continue to monitor market conditions and may direct further purchases as deemed appropriate.

Scholar Education Group’s board currently comprises four executive directors—Chairman Chen Qiyuan, Chief Executive Officer Qi Mingzhi, Li Ailing and Leng Xinlan—and three independent non-executive directors: Yang Xuezhi, Yim Ka Man and Professor Zhang Wenjun.
