IDT INT’L Reshuffles Board; Liu Kun Named Chairman & CEO, Four Directors Exit, Four Join

IDT International Limited (IDT INT’L, 00167) announced a major leadership overhaul effective 18 May 2026.

Key departures • Executive director Tiger Charles Chen, non-executive directors Ng Kwok Ying Isabella and Cheung Yuk Ki, and independent non-executive director (INED) Dr Lowe Chun Yip resigned for personal reasons. • All four confirmed no disagreement with the board and no matters needing shareholder attention.

New appointments • Liu Kun (38) becomes executive director, chairman and chief executive officer. He signs a three-year contract at RMB 1.29 million per annum. • Zhu Guoqiang (34) and Shen Yuejie (38) join as executive directors; both waive director’s fees. • Li Bo (40) is appointed INED, earning HK$0.24 million annually; he will chair the Remuneration Committee and sit on the Audit as well as Nomination & Corporate Governance Committees.

Governance impact • Liu’s dual role as chairman and CEO departs from Listing Rule Appendix C1 code provision C.2.1. The board believes the consolidation will streamline decision-making and pledges periodic review of the structure. • Following the reshuffle, committee memberships change: – Remuneration Committee: chaired by Li Bo; members include Shen Yuejie. – Nomination & Corporate Governance Committee: now includes Zhu Guoqiang and Li Bo; Mak Tin Sang steps down. – Audit Committee: Li Bo joins as member. • Ms Cheung Yuk Ki ceases as Authorised Representative; Liu Kun assumes the role.

Board composition post-changes • Executive Directors: Liu Kun, Zhu Guoqiang, Shen Yuejie. • INEDs: Chen Weijie, Mak Tin Sang, Li Bo.

The board expressed appreciation to the departing directors and extended a formal welcome to the new appointees.
