Inner Mongolia Xingye Silver & Tin Mining Co.,Ltd. (000426.SZ) has announced its intention to acquire control of Weiling New Energy Co., Ltd. (referred to as "Weiling Shares") through a series of investment measures, as part of its broader strategy to expand its non-ferrous metal mineral resource portfolio and tap into the mining market in Hunan Province. The company will consider a combination of methods, including but not limited to mandatory tender offers, competitive stake increases, block trade accumulations, and negotiated transfer acquisitions, to secure a controlling interest in Weiling Shares.
As part of this initiative, the company also plans to launch a partial tender offer targeting all holders of unrestricted tradable shares in Weiling Shares. Upon securing control, Inner Mongolia Xingye Silver & Tin Mining intends to take further steps to optimize Weiling Shares' asset-liability structure, assist in revising and strengthening its internal control systems, and oversee the implementation of these systems to enhance the company's operational performance. The total investment or expenditure for acquiring control and implementing operational improvements is projected not to exceed RMB 1.8 billion.
This strategic investment aligns with the company's long-term goal of becoming a leading mining enterprise with a robust resource base, advanced technology, and international recognition.
