Shares of JUNSHI BIO (ASX: 01877) have risen more than 5%. At the time of writing, the stock is up 4.67% to HK$17.26, with a turnover of HK$65.60 million.
Strategic Investment Announcement
The company recently announced its intention to enter into a joint venture agreement with Suzhou Zhonghe, JUNSHI Engineering, Suzhou Junmeng, the joint venture company Shanghai Zhiyu Biopharmaceutical Co., Ltd., and Dr. Yao Sheng. Under the terms of this agreement, the transferors (the company, Suzhou Zhonghe, JUNSHI Engineering, and Suzhou Junmeng) have conditionally agreed to grant the joint venture company a license for certain intellectual property. This license covers the research, development, manufacturing, use, and commercialization of the licensed products.
Additionally, the agreement involves the transfer of tangible assets and related intellectual property rights to the joint venture company. The total consideration for these transfers amounts to approximately RMB 53.08 million. In exchange, the joint venture company will issue new registered capital of RMB 250,000 to JUNSHI BIO.
Focus on Advanced Therapeutics
The licensed products are defined as those independently developed by the joint venture company based on antibody sequences generated during the research and development process utilizing the licensed technology. This portfolio includes multispecific antibody products (trispecific and above), conjugate products (AXC, or antibody X conjugate), as well as derivative products or substantially equivalent products.
The tangible assets consist of instruments, equipment, and supporting facilities located within the transferors' preclinical research and development laboratories. The intellectual property rights encompass all technological achievements, experimental data, and technical know-how related to the targets of the designated pipeline or reasonably expected to be used in the development of the licensed products. This target pipeline focuses on developing antibody technology and ADC platform technology for three product targets in the field of oncology treatment.
