GC Construction Reports Zero Share Capital Movement for September; Public Float Compliance Confirmed

Bulletin Express10-05

GC Construction Holdings Limited filed its Monthly Return for the period ended 30 September 2026, showing a stable capital structure with no changes to authorised or issued share capital during the month. The filing was submitted to the Hong Kong Stock Exchange on 5 October 2026.

The company’s authorised share capital remained at 10.00 billion ordinary shares with a par value of HKD 0.01, translating to HKD 100.00 million. There were no increases or decreases in the authorised amount.

Issued share capital also stayed flat at 1.00 billion ordinary shares, and GC Construction continues to hold no treasury shares. Consequently, total issued shares at month-end equalled 1.00 billion.

GC Construction confirmed it meets the Main Board’s minimum public-float requirement of 25 percent, indicating adequate free-float liquidity in the market.

No new shares were issued, and no shares were repurchased or cancelled in September. The company’s share option scheme, adopted on 13 September 2022, reported zero outstanding or newly granted options, although it still allows for up to 100.00 million shares to be issued upon future grants. The month generated no proceeds from option exercises.

The report further noted the absence of warrants, convertible securities, or other equity-linked instruments, underscoring a conservative capital-management stance.

With all key share capital metrics unchanged, GC Construction enters the fourth quarter with an unaltered equity base and full regulatory compliance.
