Hangzhou Tongshifu Cultural and Creative (Group) Co., Ltd. (“TONGSHIFU”) announced personnel changes within its corporate governance team, effective 30 June 2026. Ms. Xu Jiaying resigned from her posts as manager of the international department, secretary to the Board and Joint Company Secretary owing to personal work arrangements. The Board confirmed that Ms. Xu has no disagreements with management and no matters requiring shareholder attention.
\n\nMr. Luo Renxiang, already serving as Executive Director, Deputy General Manager, Financial Director and an authorised representative under Listing Rule 3.05, has been appointed to succeed Ms. Xu as secretary to the Board and Joint Company Secretary. Ms. Leung Hoi Yan, who meets all professional requirements under HKEX Listing Rules 3.28 and 8.17, continues in her role as the other Joint Company Secretary.
\n\nAlthough Mr. Luo lacks the formal professional qualifications stipulated in Listing Rule 3.28, the Board cited his extensive experience in financial management, corporate governance and his status as a PRC-certified public accountant as sufficient to fulfil the role. The Hong Kong Stock Exchange has granted TONGSHIFU a three-year waiver (effective 30 June 2026 to 29 June 2029) from strict compliance with the relevant rules, on condition that Mr. Luo works under the ongoing guidance of Ms. Leung and that no material breaches of the Listing Rules occur.
\n\nBefore the waiver expires, TONGSHIFU must demonstrate that Mr. Luo has acquired the requisite experience to act independently as company secretary, failing which a further waiver application will be required. The Board expressed gratitude to Ms. Xu for her contribution and welcomed Mr. Luo to his expanded responsibilities.
