CWT INT'L to Seek Shareholder Approval on Director Re-elections, Auditor Re-appointment and Articles Overhaul at 26 June AGM

CWT International Limited (CWT INT'L) has issued a circular convening its Annual General Meeting (AGM) for 2:30 p.m. on 26 June 2026 at Suite 4705, 47/F, Central Plaza, Hong Kong. Key resolutions and details are as follows:

1. Director Re-elections • Independent non-executive directors Mr Lam Kin Fung, Ms Liu Yifei and Dr Lo Wing Yan have been nominated for another term. • Mr Lam has served on the board since 2013; Ms Liu since 2023; Dr Lo since 2025. All three have confirmed independence under Listing Rule 3.13. • Separate voting will be held on each candidate. Mr Lam’s long tenure (over nine years) triggers a standalone resolution under Code Provision B.2.3.

2. Auditor Re-appointment • The board—on Audit Committee recommendation—proposes to re-appoint Baker Tilly Hong Kong Limited for the financial year ending 31 December 2026. • Total audit fees are expected to fall between HK$3.10 million and HK$3.20 million, reflecting group structure, scope and timetable. • Fees for other subsidiaries, audited by Baker Tilly International member firms or other external auditors, will be disclosed in the 2026 annual report.

3. Articles of Association Rewrite • Shareholders will vote on adopting a fully amended and restated Articles of Association. Key changes include: – Recognition of treasury shares and related voting/dividend restrictions. – Preparation for Hong Kong’s uncertificated securities market, enabling electronic share registration, transfers and corporate-action payments. – Alignment with revised Hong Kong Companies Ordinance and Listing Rules, such as raising the poll-demand threshold to five members and formalising electronic dissemination of corporate communications. – Consequential housekeeping updates.

4. Administrative Information • Proxy forms must reach Tricor Investors Services Limited by 2:30 p.m. on 24 June 2026 (Hong Kong time). • The share register closes from 23 June to 26 June 2026, with Monday, 22 June 2026 set as the last day for share transfers to qualify for AGM voting.

Board Recommendation The board states that all proposed resolutions are in the best interests of the company and its shareholders and recommends voting in favour at the AGM.
