China Railway Signal & Communication Corporation Limited (CRSC, Stock Code: 3969) has issued revised Terms of Reference for its Nomination Committee under the Board of Directors, in line with applicable laws, listing requirements, and the company’s Articles of Association. The updates emphasize standardized procedures for appointing directors and senior management, aiming to strengthen the company’s governance structure.

Under the revised guidelines, the Nomination Committee comprises three directors, the majority of whom are independent. At least one director must be of a different gender, and the committee chair must be an independent non-executive director. The Terms of Reference outline the committee’s responsibilities to review the overall board composition, propose candidate criteria, and evaluate the qualifications of nominees. They also include provisions for ensuring diversity regarding gender, age, cultural background, and professional experience in the boardroom and among employees.

The new procedures clarify the nomination process—from identifying a need for new leadership, to gathering candidate information, to submitting recommendations for board approval. They also address meeting protocols, confidentiality obligations, and the committee’s relationship with supporting departments. This version replaces the previous Terms of Reference (CRSC Director’s Office [2024] No. 35) and took effect following the board’s approval.
