PRADA Sets 30 Apr 2026 Online AGM; Board Proposes EUR 0.166 Final Dividend on FY 2025 Net Income of EUR 795.59 Million

PRADA S.p.A. has scheduled its 2026 Annual General Meeting for 30 April 2026 at 10:00 a.m. CET (4:00 p.m. Hong Kong time). Attendance and voting will be conducted exclusively through an online platform in line with Italian legislation on virtual meetings.

Key resolutions to be put to shareholders include:

1. Approval of FY 2025 Results • Separate financial statements report net income of EUR 795.59 million for the year ended 31 December 2025. • Consolidated financial statements and accompanying reports from the Board of Directors, Board of Statutory Auditors and Independent Auditor will also be presented for approval.

2. Profit Allocation and Dividend • The Board recommends distributing EUR 424.76 million, equal to EUR 0.166 per share, as a final dividend. • The remaining EUR 370.83 million of FY 2025 earnings is earmarked for retained earnings. • Shareholders on the register as of 8 May 2026 will be entitled to the dividend, with payment slated for 19 May 2026.

3. Board Appointment • Shareholders will vote on the appointment of Ms. Ilaria Resta as an Independent Non-Executive Director until the AGM that approves the 2026 financial statements.

Administrative timetable:

• Proxy submission deadline: 28 April 2026 (48 hours before the AGM). • Register closure for AGM: 28–30 April 2026 (both days inclusive); record date 28 April 2026. • Register closure for dividend: 8 May 2026 (one day).

Voting on all resolutions will be conducted by poll, with one vote per share.
