CARsgen issues 23.73 million new shares in May; total share count rises 4.16 %, public float intact

CARsgen Therapeutics Holdings Limited disclosed its monthly return for May 2026, detailing an expansion in issued share capital primarily driven by a placing of new shares and staff incentive schemes. Key data points are as follows:

• Share issuance. During the month, 23.73 million ordinary shares were added, lifting the issued share base (excluding treasury shares) to 594.68 million. This represents a 4.16 % increase from the 570.94 million shares outstanding at end-April. Total issued shares, including 7.82 million treasury shares, stood at 602.49 million.

• Placing activity. A private placing on 26 May 2026 introduced 23.70 million new shares at HKD 19.84 each, accounting for 99.9 % of the monthly issuance. The transaction implies gross proceeds of about HKD 470.21 million.

• Employee incentive schemes. – Post-IPO Share Option Scheme: 26,250 options were exercised, generating HKD 0.52 million in exercise proceeds and adding the same number of new shares. After lapses and exercises, 17.81 million options remain outstanding, while the scheme still allows issuance of up to 23.38 million shares. – 2019 Equity Incentive Plan: 7,000 shares were issued, with 2.18 million shares still available for future grants. – No movements were recorded under the Post-IPO RSU Scheme during the month.

• Share repurchases. A previously disclosed 455,000-share repurchase executed in October 2025 remains pending cancellation; no additional treasury share movements occurred in May.

• Capital structure. Authorised share capital stayed unchanged at 200.00 billion ordinary shares with a par value of USD 0.00000025 each, equal to total authorised capital of USD 50,000.

• Public float. CARsgen confirmed compliance with the Main Board’s minimum 25 % public float requirement as at 31 May 2026.

These developments leave CARsgen with almost 20.00 million shares still issuable under existing employee equity programmes while maintaining regulatory float thresholds.
