Sirnaomics Allocates 893,647 Share Options and 3.05 Million RSUs; CEO Dr. Poon Receives Conditional 1.00 Million-Unit Award

Bulletin Express10-29

Sirnaomics Ltd. (the “Company”) has implemented a new round of equity incentives under its 2026 Share Option Scheme and 2026 RSU Scheme, both approved on 30 June 2026. Key details are as follows:

• Share Options: 893,647 options were granted to 25 employees at an exercise price of HK$4.13 per share—matching the 29 October 2026 closing price and exceeding the five-day average of HK$4.06. Options carry a 10-year life and vest 50% on the first and 50% on the second anniversary of the grant date; no performance hurdles apply.

• Employee RSUs: 2.05 million RSUs were awarded to 27 employees, vesting 50% after one year and the remaining 50% after two years.

• Connected RSU Grant: 1.00 million RSUs were conditionally granted to Executive Director, Chairman and CEO Dr. Poon Hung Fai. The award mirrors the two-year vesting schedule of the employee RSUs but requires approval by independent shareholders at an extraordinary general meeting because it exceeds the 0.1% issuance threshold stipulated under Hong Kong Listing Rules Chapter 17.

• Dilution and Scheme Capacity: The aggregate 3.94 million equity awards (options plus RSUs) utilize 36% of the 10.97 million-share mandate limit set for the 2026 schemes, leaving 7.03 million shares available for future grants. No new shares will be issued at this stage; all awards will be settled with the 9.85 million existing shares already held by the Company’s independent trustee, avoiding shareholder dilution.

• Governance Safeguards: Both options and RSUs include clawback provisions covering criminal convictions, serious misconduct, confidentiality breaches and other material violations. No financial assistance has been provided to grantees for share purchases.

The Board states that the awards are designed to strengthen long-term alignment between key talent and shareholder interests, reward past contributions and support the Group’s growth trajectory. Dr. Poon, in his leadership capacity since 2024, is cited as critical to ongoing strategic execution and value creation.
