TransThera Sciences: INED Zheng Zhelan to Exit, Feng Weibo Nominated as Successor; Non-Executive Director Yi Hua Resigns

TransThera Sciences (Nanjing), Inc. (TransThera) announced a forthcoming reshuffle of its board on 31 March 2026, involving both independent and non-executive directors.

Resignation of Independent Non-Executive Director • Independent Non-Executive Director (INED) Ms. Zheng Zhelan has tendered her resignation, citing personal work commitments. • She will continue in her roles—including Chair of the Remuneration and Appraisal Committee and member of the Audit and Nomination Committees—until a successor is elected at TransThera’s upcoming annual general meeting (AGM). • Ms. Zheng confirmed no disagreement with the board, and the company reported no other matters requiring shareholder attention.

Proposed Appointment of Independent Non-Executive Director • The board has nominated Mr. Feng Weibo, aged 62, as the new INED. His three-year term will commence upon shareholder approval at the AGM. • Mr. Feng is a retired academic from Nanjing University and has served as an independent director of Shenzhen-listed Nanjing Toua Hardware & Tools Co., Ltd. since July 2022. • Subject to appointment, he will chair the Remuneration and Appraisal Committee and join both the Audit and Nomination Committees. • Annual remuneration is set at RMB0.22 million before tax, in line with market benchmarks for companies of comparable scale. • The board and Nomination Committee confirmed his independence under Hong Kong Listing Rules.

Resignation of Non-Executive Director • Non-Executive Director Dr. Yi Hua resigned with immediate effect on 31 March 2026 due to personal work arrangements and obligations to the shareholders he represents. • Dr. Yi indicated no disagreement with the board, and no additional matters require disclosure.

Board Composition Post-Changes Subject to AGM approval of Mr. Feng’s appointment, TransThera’s board will comprise two executive directors (Dr. Frank Wu and Mr. Wu Di), one non-executive director (Ms. Jia Zhongxin), and three independent non-executive directors (Mr. Li Shu Pai, Ms. Chui Hoi Yam and the proposed Mr. Feng Weibo).
