China Shenhua Board Clears 2025 Results, Dividend Plan and RMB343.00 million Donation Budget

China Shenhua Energy Company Limited convened the 17th meeting of its sixth-session board on 30 March 2026, approving all 22 resolutions on the agenda. Six of seven directors attended in person or by proxy, ensuring statutory compliance.

Key approvals • 2025 Financial Report and Annual Report: unanimously endorsed and slated for shareholder review at the 2025 AGM. • Profit Distribution Plan for 2025: passed with full support; details to be released alongside the annual report. • ESG and Governance Disclosures: the 2025 Environmental, Social and Corporate Governance Report and multiple internal-control, audit, and risk-management evaluations were adopted without objection. • Continuous Risk Assessment of China Energy Finance Co., Ltd.: independent directors confirmed sound internal controls and regulatory compliance. • Remuneration: 2025 compensation schemes for directors, supervisors, and senior management were approved; each director abstained from voting on his or her own package. • Capital Allocation: replacement of previously advanced self-raised funds with proceeds from the company’s fundraising received unanimous consent.

2026 operating roadmap • Comprehensive and Operating Plans: targets for investment and operations were endorsed, with authority granted to the CEO to adjust both the 2026 investment budget and key operating indicators by up to ±20% to accommodate market conditions. • Climate Strategy: the 2026 Climate Risks and Opportunities Assessment Report and corresponding risk list were adopted, reinforcing the company’s decarbonisation and resilience framework. • Donation Budget: a RMB343.00 million external donation ceiling was set for 2026. • Corporate Value Action Plan: the 2025 execution review and the 2026 enhancement agenda were both approved.

The board also authorised disclosure of 2026 business objectives and capital expenditure plans and resolved to convene the 2025 Annual General Meeting, with notice to follow separately.
