SDMC Schedules 2025 AGM; Key Votes on Profit Distribution, Board Re-election and Dual Mandates for Share Issuance & Buy-back

Shenzhen SDMC Technology Co., Ltd. (SDMC) has released the agenda for its 2025 Annual General Meeting, to be held on 26 June 2026 at 2:00 p.m. on the 19th floor of Changhong Science and Technology Building, Nanshan District, Shenzhen.

Key ordinary resolutions: 1. Review of the 2025 Board Work Report, Independent Non-Executive Directors’ Performance Report and the audited 2025 financial statements. 2. Approval of the 2025 Profit Distribution Plan. 3. Authorisation to apply for a 2026 comprehensive credit facility and related guarantee limits with banks and financial institutions. 4. Re-appointment of Ernst & Young as external auditor for FY-2026 with delegated authority to the Company’s management to determine remuneration. 5. Re-election of four executive directors—Li Bo, Yan Zhikang, Li Jun and Dang Hui—and three independent non-executive directors—Luk Pui Yin Grace, Yin Renyong and Dr. Zheng Qian—along with the accompanying remuneration scheme for independent directors.

Special resolutions: 1. A general mandate empowering the Board to repurchase H-shares. 2. A general mandate empowering the Board to issue H-shares.

Shareholders’ logistics: • The H-share register will be closed from 23 June 2026 to 26 June 2026 (both days inclusive). Transfers must be lodged with Tricor Investor Services Limited by 4:30 p.m. on 22 June 2026 to qualify for attendance and voting. • All resolutions will be decided by poll, and results will be published on the websites of the Hong Kong Stock Exchange and SDMC. • Shareholders may appoint one or more proxies; valid proxy forms must reach the H-share registrar or the Company’s Shenzhen headquarters by 2:00 p.m. on 25 June 2026.

At the date of the notice, SDMC’s Board comprises four executive directors and three independent non-executive directors. Li Bo serves as Chairman and Executive Director.
