Jakota Capital (Holding) Group has dispatched a circular convening its 2026 Annual General Meeting (AGM) for 28 August 2026 at 11:00 a.m. in Hong Kong. Key items up for shareholder vote are summarised below:
1. Capital Mandates • General Issuance Mandate: Directors seek authority to issue up to 20% of the company’s issued share capital, equivalent to 83.37 million shares, based on the 416.83 million shares outstanding as of 22 July 2026. • Share Repurchase Mandate: Approval requested to repurchase up to 10% of issued shares, or a maximum of 41.68 million shares. • Extension Mandate: Any shares repurchased under the buyback authority may be added to the issuance limit, effectively expanding the potential issuance headroom.
2. Board Composition • Independent non-executive directors (INEDs) Ms. Mak Yun Chu (appointed March 2016) and Mr. Hung Wai Che (appointed August 2016) will retire by rotation and stand for re-election via separate resolutions, as each has served more than nine years. • Both INEDs have provided confirmations of independence under Listing Rule 3.13, and the Board supports their re-election, citing continued independent judgement and sector expertise.
3. Auditor Re-appointment • McMillan Woods (Hong Kong) CPA Limited, auditor since January 2025, is nominated for re-appointment for the FY2026/27 audit. The estimated audit fee is HK$1.25 million.
4. Shareholder Logistics • Register of members will close from 25 to 28 August 2026 (both dates inclusive). Shareholders on record as of 28 August 2026 may attend and vote. • Proxy forms must be lodged with Tricor Investor Services by 11:00 a.m. on 26 August 2026 (48 hours before the AGM).
All resolutions will be decided by poll. The Board recommends shareholders vote in favour of the proposed mandates, director re-elections and auditor re-appointment.
