(601059.SH) through a share swap by issuing A-shares.

Dongxing Securities and Cinda Securities have received approval from the Shanghai Stock Exchange for delisting and will terminate their listing on October 19, without entering a delisting consolidation period. After delisting, the shares of original shareholders will be converted into CICC A-shares at the swap ratio.

Under the transaction plan, each Dongxing Securities A-share can be exchanged for 0.4376 CICC A-shares; each Cinda Securities A-share can be exchanged for 0.5210 CICC A-shares. CICC will issue approximately 3.104 billion new shares for this merger.

At this point, CICC's share-swap absorption and merger of Dongxing Securities and Cinda Securities has entered its final stage. The history of this share-swap absorption and merger can be traced back to November 2025. That month, CICC, Dongxing Securities and Cinda Securities simultaneously issued trading suspension announcements, planning for CICC to implement the absorption and merger by issuing A-shares to all A-share share-swap shareholders of Dongxing Securities and Cinda Securities.

The draft transaction was released in May this year, approved by the shareholders' meeting in June, passed the Shanghai Stock Exchange's merger and reorganization review on August 27, and officially obtained approval from the China Securities Regulatory Commission on September 7. On September 14, Dongxing Securities and Cinda Securities completed their last trading day. On September 18, the two companies submitted voluntary delisting applications to the Shanghai Stock Exchange, which were accepted on September 23, and on October 12 they received the formal delisting decision.

After the merger is completed, Dongxing Securities and Cinda Securities will be dissolved in accordance with the law, and their original branches will be changed into CICC branches. Central Huijin will remain the controlling shareholder and actual controller of CICC, with its shareholding ratio falling from 40.11% to approximately 24.41%. Based on 2025 data estimates, after the merger CICC's net capital will increase to 103.3 billion yuan, and its business outlets will increase to 441, significantly improving its industry ranking.
