Shandong Gold Mining Co., Ltd. has convened its 2026 third extraordinary general meeting (EGM) for 9:30 a.m. on 21 August 2026 at the company’s headquarters in Jinan, Shandong Province.
The sole agenda item is an ordinary resolution to elect Gao Yongtao as an independent non-executive director for the seventh board session, with his term running through the current board’s expiry date.
Candidate profile • Gao Yongtao, age 63, is a doctoral supervisor and national second-level professor at the University of Science and Technology Beijing. • Previous roles include independent directorships at Shandong Gold and Zhongjin Gold, as well as chairmanship of Beijing Anke Xingye Technology Co., Ltd. • Awards include two National Science and Technology Progress Second Prizes and the Eighth China Youth Science and Technology Award.
Independence assessment The board and its nomination committee confirmed Gao’s independence under Hong Kong Listing Rule 3.13 after reviewing: 1. Non-material advisory services provided to the company between December 2020 and August 2025 for a fixed fee of RMB0.30 million per year. 2. Absence of executive roles, material business relationships, or financial dependence on Shandong Gold. 3. Compliance with all independence criteria and absence of shareholdings in the company.
Remuneration Upon approval, Gao will receive a fixed director’s allowance of RMB0.30 million per annum, in line with the remuneration plan approved at the 2025 AGM.
Key meeting logistics • H-share register closes 18–21 August 2026 inclusive; shareholders must lodge transfers by 4:30 p.m. on 17 August 2026 to qualify for voting. • Proxy forms must reach Tricor Investor Services Limited by 9:30 a.m. on 20 August 2026.
The board recommends voting in favour of Gao’s appointment to enhance governance and technical expertise.
