MOG Digitech launches 1-for-2 rights issue at HK$0.065; acceptance closes 11 August 2026

MOG Digitech Holdings Limited released a prospectus on 28 July 2026 detailing a non-underwritten rights issue aimed at issuing new shares to existing investors on favourable terms.

Under the offer, shareholders registered on 9 July 2026 are entitled to subscribe for one Rights Share for every two existing shares at a subscription price of HK$0.065 per share. Allotments must be taken up in full and paid for by 4:00 p.m. on 11 August 2026, with cheques or cashier’s orders drawn on licensed Hong Kong banks and made payable to “MOG DIGITECH HOLDINGS LIMITED – PAL”.

Trading of nil-paid Rights Shares will run on the Stock Exchange from 30 July to 6 August 2026 inclusive. Certificates for fully paid Rights Shares and any refund cheques are scheduled for despatch on or before 3 September 2026. No excess application facility is provided.

The new shares will be admitted to CCASS for clearing and settlement, and will rank pari passu with existing shares upon allotment. Fractional entitlements will be aggregated and sold for the benefit of the company; any Rights Shares remaining unsold will not be issued, reducing the final offer size accordingly. Completion of the issue remains subject to the fulfilment of conditions set out in the prospectus; if these conditions are not met, the rights issue will lapse.
