China Graphite Group schedules 18 May 2026 AGM; proposals cover FY2025 results, board changes, PwC re-appointment and refreshed share mandates

China Graphite Group Limited will hold its Annual General Meeting on 18 May 2026 at 10:00 a.m. in Room 604, 6/F, Infinitus Plaza, 199 Des Voeux Road Central, Hong Kong.

Key resolutions to be tabled:

1. Financial statements • Shareholders will vote on the audited consolidated financial statements for the year ended 31 December 2025 together with the directors’ and independent auditor’s reports.

2. Board composition and remuneration • Re-election of Mr. Zhao Liang as an executive director and Ms. Zhao Jingran as an independent non-executive director. • Authorisation for the board to determine directors’ remuneration.

3. Auditor • Re-appointment of PricewaterhouseCoopers as external auditor with authority for the board to fix its remuneration.

4. Share repurchase mandate • Directors seek a general mandate to repurchase up to 10% of the company’s issued shares during the mandate period, subject to Listing Rules requirements.

5. Share issue mandate • Directors seek a general mandate to allot, issue or deal with additional shares up to 20% of the issued share capital, excluding specific exemptions such as rights issues, share option exercises, scrip dividends and existing convertible securities.

6. Extension of issue mandate • Conditional on the above mandates, the share issue mandate may be extended by the number of shares repurchased, capped at an additional 10% of issued shares.

Administrative details:

• Voting will be conducted by poll, with results published on the Stock Exchange and company websites. • Proxy forms must be lodged with Tricor Investor Services Limited by 10:00 a.m. on 16 May 2026. • The register of members will be closed from 13 May 2026 to 18 May 2026 (both dates inclusive). Shareholders recorded on 18 May 2026 are entitled to attend and vote.
