Beazer Homes USA Surges 14.7% Pre-Market on Fifth, Higher Takeover Bid from Dream Finders

Beazer Homes USA (BZH) shares surged 14.7% in pre-market trading Wednesday following a fifth takeover offer from peer Dream Finders Homes, which raised its all-cash bid to $32 per share, marking the highest offer to date.

Dream Finders Chairman and CEO Patrick Zalupski stated the company had previously offered $29.25 per share on June 22nd and increased it to $32 on June 30th after receiving feedback from Beazer Homes. The latest offer represents a premium of approximately 70% over Beazer Homes' undisturbed share price of $18.77 on May 8th and a roughly 56% premium over its 30-day volume-weighted average price of $20.48.

Beazer Homes had set several preconditions for initiating due diligence, including requiring Dream Finders to sign a confidentiality agreement with a 12-month standstill provision. Dream Finders argued this demand went far beyond what was necessary to protect confidential information and was intended to further delay the process. Zalupski stated directly that Beazer Homes' actions did not appear focused on maximizing value for its shareholders.

Dream Finders pointed out that Beazer Homes has underperformed its peers over the long term and is the only publicly traded homebuilder to report operating losses for two consecutive quarters. A merger of the two companies would create the nation's seventh-largest homebuilder with complementary geographic footprints, as Dream Finders has a strong presence in the East and Southeast while Beazer Homes is well-established in the West.

Beazer Homes has rejected the latest offer, stating it significantly undervalues the company. The company disclosed that since Dream Finders' initial public offer of $25.75 per share in May, other parties have expressed interest in potential transactions, and its board is evaluating all possible options.

Regarding financing, Dream Finders has secured highly confident letters from institutions including Kennedy Lewis, Goldman Sachs, and Bank of America, confirming that the related financing can be completed in the capital markets. The company also anticipates no regulatory obstacles to completing the transaction. Goldman Sachs, BofA Securities, and Zelman Partners are serving as financial advisors to Dream Finders.
