On January 22, the Hong Kong Exchanges and Clearing Limited (HKEX) issued an announcement, making a director unsuitability statement and issuing a censure against Wang Huimin, the former independent non-executive director of Jiayuan Service Holdings Limited (01153).
The HKEX conducted an investigation into whether Wang Huimin had fulfilled his director duties.
As part of the investigation, the exchange sent him an investigation letter and a reminder letter.
He neither replied to the Listing Division nor cooperated with the investigation.
Failure to cooperate with an HKEX investigation constitutes a serious breach of the Listing Rules.
The HKEX reminded all issuer directors that they have a duty to cooperate with its investigations, even after they have resigned.
