UBTECH Robotics (9880) Announces Extraordinary General Meeting to Approve Share Acquisition in Zhejiang Fenglong Electric

UBTECH Robotics Corp Ltd (Stock Code: 9880) has scheduled its first extraordinary general meeting of 2026 for March 10 at 4:00 p.m. (local time), to be held at JIMU Conference Room, 25/F, Building C1, Nanshan Smart Park, Shenzhen. The register of members will be closed from March 5 to March 10, and those shareholders whose names appear on the register on March 10 may attend and vote.

The primary resolution is to approve, confirm, and ratify the share transfer agreement dated December 24, 2025, pertaining to UBTECH Robotics' proposed acquisition of not less than 43.00% equity interest in Zhejiang Fenglong Electric Co., Ltd. The agreement involves Zhejiang Chengfeng Investment Co., Ltd., Mr. Dong Jiangang, Ms. Li Caixia, and Ningbo Fengchi Investment Co., Ltd., authorizing UBTECH Robotics to proceed with the share transfer and partial offer transactions.

Shareholders and their proxies must follow the prescribed procedures for identity verification and proxy appointments. Relevant documents, including the form of proxy and authorization, must be duly completed and submitted by March 9, 2026. Voting on the resolution at the meeting will be conducted by poll, and the results will be published on the websites of the Stock Exchange and UBTECH Robotics upon conclusion of the Extraordinary General Meeting.
