TONGSHIFU lists 10 agenda items for 26 June 2026 AGM, seeking mandates on dividends, share issuance, and Articles amendments

Hangzhou Tongshifu Cultural and Creative (Group) Co., Ltd. (TONGSHIFU) has released the proxy form for its 2025 Annual General Meeting (AGM), scheduled for 2:00 p.m. on Friday, 26 June 2026, at the company’s conference facility on the 4th Floor of the Office Building, No. 777 Yading Road, Yangxi Street, Jiande City, Zhejiang Province, PRC.

The proxy form details 10 resolutions—six ordinary and four special—for shareholder approval:

1. Ordinary business covers the 2025 Board report, the 2025 annual report, re-appointment of the auditor for 2026, directors’ remuneration for 2026, the 2025 profit-distribution plan, and adoption of a formal dividend policy.

2. Special business seeks: • A general mandate to issue shares, including any sale or transfer of treasury shares. • A general mandate to repurchase shares. • Amendments to the Articles of Association to align with the results of the H-share initial public offering. • Further amendments to the Articles of Association related to the application for full circulation of H shares.

Shareholders may appoint the meeting chairman or another individual as proxy and must submit completed proxy forms to Computershare Hong Kong Investor Services Limited or the company’s registered office no later than 2:00 p.m. on 25 June 2026. Completion and return of the proxy form will not preclude shareholders from attending and voting in person.

All references to dates and times follow Hong Kong conventions, and identification documents will be required for meeting admission.
