Sands China Ltd. (Sands China) disclosed that its subsidiary Venetian Macau Limited (VML) has signed a limited-partnership agreement to participate as a limited partner in the newly formed Macao SAR Government Guidance Fund No. 2 (GG Fund).
Key transaction details • Capital commitment: 2.30 billion patacas (approximately US$285 million). • Structure: VML becomes a limited partner; the general partner, Macau Project Management (No. 2) Limited, and the management entity, Macau Investment and Management Company Limited, are both ultimately owned and controlled by the Macao government. • Strategic impact: The GG Fund commitment will be fully credited against VML’s non-gaming investment obligations under its gaming concession, replacing other previously planned projects.
Background on concession requirements Under the 2022–2032 concession, VML must invest at least 35.84 billion patacas (approximately US$4.43 billion) by 31 December 2032. Of this, 33.39 billion patacas (approximately US$4.13 billion) is earmarked for non-gaming projects designed to support Macao’s economic diversification.
Implications With the US$285 million GG Fund commitment now counted toward these obligations, VML has covered roughly 6.9% of its required non-gaming investment pool. The partnership aligns Sands China’s capital deployment with the Macao government’s policy objective of broadening the city’s economic base beyond gaming.
Stakeholder considerations Shareholders and other market participants are advised to note that the new commitment reallocates part of the company’s planned non-gaming spending but does not alter the total size or deadline of its concession-mandated investment program.
