The board of CHINA XLX FERT (HKEX: 01866) has announced a change in the role of one of its directors.
Following consideration of feedback from The Stock Exchange of Hong Kong Limited regarding Mr. Chen's independence, and to ensure prudent compliance with the rules concerning director independence under the HKEX Listing Rules, the board has resolved to re-designate Mr. Chen Weixian from an independent non-executive director to a non-executive director.
This change will take effect from July 22, 2026.
Mr. Chen has served as an independent non-executive director, a member of the board's audit and nomination committees, and the chairman of the remuneration committee since June 23, 2026.
Upon the effectiveness of the re-designation, he will assume the role of a non-executive director for the company.
From July 22, 2026, Mr. Chen will step down from his positions as chairman of the remuneration committee and as a member of the nomination committee.
He will, however, continue to serve as a member of both the audit committee and the remuneration committee.
Concurrently, the current independent non-executive director, Mr. Li Hongxing, has been appointed as the new chairman of the remuneration committee, effective from the same date, July 22, 2026.
Following these adjustments, the composition of the remuneration committee will be in full compliance with the pertinent requirements of the Listing Rules.
