ZJLD Group Reports No Change in Share Capital for August 2026; Public Float Meets 15% Threshold

ZJLD Group Inc. (the “Company”) filed its monthly return for the period ended 31 August 2026 with Hong Kong Exchanges and Clearing Limited, confirming that no changes occurred in either authorised or issued share capital during the month.

The Company’s authorised share capital remains at 25.00 billion ordinary shares with a par value of USD 0.000002 each, translating into total authorised capital of USD 50,000. Issued shares stood unchanged at 3.39 billion, and the Company held no treasury shares as at month-end.

ZJLD Group affirmed compliance with the Main Board’s minimum public-float requirement. Specifically, the Company maintained at least the initial prescribed threshold of 15% of its issued ordinary shares in public hands.

No share options, warrants, convertibles or other share-issuance instruments were exercised or issued in August. Under the Post-IPO Equity Incentive Plan adopted on 11 April 2023, a balance of 46.27 million shares remains available for future issuance. The plan originally authorised up to 163.57 million shares (5% of shares outstanding at listing), of which 117.29 million shares were issued on 15 January 2024.

The monthly return was signed and submitted on 1 September 2026 by Vice President, CFO and Joint Company Secretary Mr Wang Lianbo, who confirmed adherence to all relevant listing rules and regulatory obligations.
