Zhida Tech Schedules 24 April 2026 AGM; Board to Seek 20% Issue Mandate, 10% Buyback Authority and Supervisory Committee Abolition

Shanghai Zhida Technology Development Co., Ltd. (“Zhida Tech”, Stock Code: 02650) has issued a notice convening its 2025 Annual General Meeting (AGM) for 10:00 a.m. on Friday, 24 April 2026 at 8/F, Building 2, Chuangzhi Tiandi, 477 Zhengli Road, Yangpu District, Shanghai.

Key proposals to be put before shareholders are as follows:

1. Ordinary Resolutions • Approval of the Board’s 2025 work report, 2025 audit report, 2025 annual report and 2025 final accounts report. • Approval of the 2025 profit-distribution plan. • Re-appointment of the external auditors. • Approval of the supervisory committee’s 2025 work report and the 2026 remuneration plan for directors.

2. Special Resolutions • General mandate authorising the Board to allot and issue additional H-shares up to 20% of the company’s existing H-share capital during the “Relevant Period” (the earlier of the 2026 AGM, 12 months from approval, or revocation by shareholders). The mandate includes authority to adjust registered capital and amend the Articles of Association to reflect any new issuance. • H-share Repurchase Mandate permitting the Board to buy back up to 10% of total H-shares in issue during the same Relevant Period, with comprehensive authority to formulate, execute and amend repurchase plans, handle regulatory filings, and cancel repurchased shares. • Proposed abolition of the supervisory committee and corresponding amendments to the Articles of Association and its appendices.

Shareholder Logistics • The H-share register will be closed from 21 April 2026 to 24 April 2026 (both dates inclusive). Only shareholders on record as of 24 April 2026 may attend and vote. • H-share transfer documents must reach Computershare Hong Kong Investor Services by 4:30 p.m. on 20 April 2026. • Proxy forms must be lodged no later than 10:00 a.m. on 23 April 2026, and reply slips by 4:30 p.m. on 20 April 2026.

The meeting is expected to conclude within half a working day, and attendees will bear their own travel and accommodation expenses.
