Giordano Int’l Sets 28 May 2026 AGM, Proposes HK$0.064 Final Dividend and Seeks 5% Issuance, 10% Buy-back Mandates

Giordano International Limited has scheduled its 2026 annual general meeting for 28 May 2026 at 11:00 a.m. in the Shanghai Room, Level 8, Cordis, Hong Kong. Shareholders will vote on the following key items:

1. Financial Statements and Dividend • Adoption of the audited consolidated financial statements, directors’ report and independent auditor’s report for the year ended 31 December 2025. • Declaration of a final dividend of 6.40 HK cents (HK$0.064) per share for FY2025. Shareholders registered by the record date of 8 June 2026 will be entitled to the payout. The register of members will be closed from 4 June 2026 to 8 June 2026 for dividend entitlements.

2. Board Composition and Remuneration • Re-election of Mr. Tsang On Yip, Patrick and Mr. Cheng Chi Leong, Christopher as Non-executive Directors, and Mr. Victor Huang as an Independent Non-executive Director. • Authorisation for the Board to determine Directors’ remuneration.

3. Auditor • Re-appointment of PricewaterhouseCoopers as external auditor and authorisation for the Board to set its remuneration.

4. Share Capital Mandates • General mandate permitting the Board to issue, allot or deal with new shares up to 5% of the Company’s issued share capital (excluding treasury shares) as of the approval date. • Share repurchase mandate allowing buy-backs of up to 10% of the issued share capital (excluding treasury shares) within the mandate period.

Key Timetable • Book-closure for AGM voting: 22 May – 28 May 2026 (inclusive); record date: 28 May 2026. • AGM: 28 May 2026. • Book-closure for final dividend: 4 June – 8 June 2026 (inclusive); record date: 8 June 2026.

Voting at the AGM will be conducted by poll in accordance with Hong Kong Listing Rules and the Company’s bye-laws.
