AUNTEA JENNY has issued a circular convening an extraordinary general meeting (EGM) for 18 November 2026 in Shanghai to decide three key matters: election of the second-session board of directors, appointment of independent non-executive directors (INEDs) and approval of a comprehensive banking and guarantee mandate for FY 2026.
Key proposals

Board renewal • Executive director nominees: Chairperson and co-founder Mr. Shan Weijun, co-founder Ms. Zhou Rongrong and national operating director Mr. Gu Liang. • INED nominees: Mr. Han Ding-Gwo, Mr. Chung Chong Sun and Ms. Yu Fang Jing. • Each director will serve a three-year term starting from EGM approval. Incumbent executive director Mr. Wang Jiaxing will step down to focus on other commitments.
2. 2026 banking facilities and intra-group guarantees • Aggregate outstanding financing balance across the group to be capped at RMB 1.70 billion. • Mutual guarantees among group entities may also total up to RMB 1.70 billion. • Proceeds may fund daily operations and project construction; merger-and-acquisition loans are excluded. • Facilities cover a broad range of instruments, including short- and medium-term loans, trade finance, bill discounting, letters of guarantee and overdrafts. • Authorisation extends to the board and, by delegation, to management until the 2026 annual general meeting.
