Platt Nera Completes HK$13.82 Million Share Subscription, Adds 38.40 Million New Shares

Platt Nera International Limited announced the completion of its previously disclosed share subscription on 21 July 2026. All conditions in the Subscription Agreement have been fulfilled, resulting in the issuance of 38.40 million new shares at HK$0.360 per share.

The newly issued shares equate to 20.00% of Platt Nera’s issued capital before the transaction and 16.67% of the enlarged share base. Total shares outstanding increased from 192.00 million to 230.40 million. The subscription carries an aggregate nominal value of HK$1.92 million.

Gross proceeds amount to HK$13.82 million, with net proceeds of HK$13.70 million after expenses. The company plans to deploy the funds as follows: • HK$6.00 million (43.80%) for business development and operational enhancement within existing business lines; • HK$6.00 million (43.80%) for general working capital and administrative expenses, including rent, salaries, and professional fees; • HK$1.70 million (12.40%) for bank loan repayment. Management expects full utilisation of the net proceeds by the first half of 2027.

Shareholding shifts following completion are as follows: Pynk Holding Limited’s stake moved from 10.62% to 8.85%; shareholder He Haisheng’s interest fell from 16.67% to 13.89%; a new subscriber now holds 16.67%; public shareholders collectively decreased from 72.71% to 60.59%.

The company confirmed that the subscriber and its ultimate beneficial owners are independent third parties.
