JLMAG Maintains Share Base, Executes 2.72 Million H-Share Buy-Back in July Filing

JL MAG Rare-Earth Co., Ltd. (abbreviated as “JLMAG”) has released its Monthly Return for Equity Issuer for the period ended 31 July 2026, outlining stable share capital levels alongside targeted repurchase activity.

Authorised and Issued Share Capital • Authorised/registered capital remained unchanged at RMB 1.38 billion, representing 1.38 billion ordinary shares with a par value of RMB 1 each. • Issued share totals were steady: 234.76 million H shares and 1.14 billion A shares. No new shares were issued and no treasury shares were cancelled during the month.

Share Repurchase Activity • On 28 April 2026 the company repurchased 2.72 million H shares at an average price of HKD 16.27 per share. These shares are earmarked for cancellation but had not yet been cancelled as of 31 July 2026.

Convertible Bonds Outstanding • JLMAG’s US$117.50 million 1.75% guaranteed convertible bonds due 2030 carried an outstanding principal of US$98.10 million at month-end. • Full conversion at the HKD 21.15 strike price could add up to 36.41 million new H shares, implying potential dilution equivalent to about 15.5% of the current H-share base.

Public Float Compliance • The company confirmed compliance with Hong Kong’s minimum 5% public float requirement for PRC issuers.

Governance • The monthly return was signed by Joint Company Secretary Mr. Lai Xunlong on 6 August 2026.
