Pony AI Appoints CFO Dr. Haojun Wang as Joint Company Secretary and Obtains Three-Year HKEX Waiver

Pony AI Inc. (Pony AI) has appointed Chief Financial Officer Dr. Haojun Wang as Joint Company Secretary with effect from 10 June 2026. Existing company secretary Mr. Ng Tung Ching Raphael will continue in his role, forming a dual-secretary structure aimed at strengthening corporate governance and regulatory compliance.

\n\nHKEX Waiver Details The Hong Kong Stock Exchange granted Pony AI a three-year waiver from strict compliance with Listing Rules 3.28 and 8.17, which require a company secretary to hold specified professional qualifications or relevant experience. The waiver runs for three years from Dr. Wang’s appointment and is conditional on: 1. Mr. Ng assisting Dr. Wang throughout the waiver period. 2. Revocation of the waiver if the company commits material breaches of the Listing Rules.

Prior to the waiver’s expiration, Pony AI must demonstrate that Dr. Wang has acquired sufficient experience to discharge company-secretary duties independently, eliminating the need for further waivers.

\n\nExecutive Profiles • Dr. Haojun Wang, aged 49, has served as Pony AI’s CFO since December 2016, overseeing corporate financing, financial planning, and human resources. His prior roles include architect at Baidu (Nasdaq: BIDU; HKEX: 9888) and software developer at IBM (NYSE: IBM). Dr. Wang holds a doctorate in computer science from the University of Southern California and a bachelor’s degree in information and control engineering from Shanghai Jiao Tong University. He will complete at least 15 hours of relevant professional training annually, as required under Listing Rule 3.29.

• Mr. Ng Tung Ching Raphael brings more than 15 years of legal and company-secretarial experience and fully meets HKEX qualification standards. He is Assistant Vice President, Entity Solutions at Computershare Hong Kong Investor Services. Mr. Ng holds master’s degrees in Chinese Business Law and in Professional Accounting & Corporate Governance, and is a Fellow of both The Hong Kong Chartered Governance Institute and The Chartered Governance Institute (UK).
