Axera to Seek Shareholder Approval on FY2025 Reports, Auditor Re-appointment and New H-Share Incentive Schemes at 26 June AGM

Axera Semiconductor Co., Ltd. (stock code: 00600) has issued the notice and proxy form for its annual general meeting scheduled for 10:00 a.m. on Friday, 26 June 2026 at the Zhanxiang Center, Pudong New Area, Shanghai.

Shareholders will vote on six ordinary resolutions: 1. Receipt of the Board of Directors’ report for the year ended 31 December 2025. 2. Adoption of the company’s FY2025 annual report. 3. Re-appointment of KPMG as the external auditor and authorisation for the Board to determine its remuneration. 4–6. Approval of the 2026 remuneration plans for executive, non-executive and independent non-executive directors.

Six special resolutions are also on the agenda: 1. Grant of a general mandate to issue H shares. 2. Grant of a general mandate to repurchase H shares. 3. Adoption of a new H Share Option Scheme. 4. Adoption of an H Share Award Scheme. 5–6. Authorisation for the Board or designated delegates to handle all matters related to the above share option and award schemes.

Proxy forms, together with any power of attorney or authorisation documents, must reach the company’s Hong Kong share registrar—Computershare Hong Kong Investor Services Limited—no later than 24 hours before the meeting start time. Identification documents will be required for entry, and all date and time references follow Hong Kong standards.
