Keep Inc. (HKEX: 03650) has released a Next Day Disclosure Return dated 22 October 2026, outlining a fresh on-market share buyback and updated share capital metrics.

On 22 October 2026 the company repurchased 50,300 ordinary shares on the Hong Kong Stock Exchange at prices ranging between HKD 1.065 and HKD 1.13 apiece, for a total consideration of HKD 0.06 million. The volume-weighted average purchase price was approximately HKD 1.11 per share.

The transaction reduced Keep’s issued share capital (excluding treasury shares) by 0.01%, from 494.09 million shares to 494.04 million shares. Concurrently, treasury shares rose to 16.24 million, while total issued shares remained unchanged at 510.28 million because the repurchased stock has been retained in treasury rather than cancelled.

Under the general mandate approved on 4 June 2026, Keep is authorised to repurchase up to 50.24 million shares. Including the latest purchase, the company has bought back 8.38 million shares on the Exchange—equivalent to 1.67% of the issued share base at the mandate date. In line with Hong Kong listing rules, the company is restricted from issuing new shares or disposing of treasury shares until 21 November 2026.

Separately, 3.52 million shares repurchased between 6 January and 15 April 2026—at prices ranging from HKD 2.91 to HKD 3.98 per share—remain pending cancellation.

Management confirmed that all repurchases were executed under the board’s authorisation and in full compliance with Hong Kong Stock Exchange regulations and applicable laws.
