Ajisen (China) Schedules 23 Jun 2026 AGM to Adopt FY25 Results, Approve Final & Special Dividends, Refresh Share Mandates

Ajisen (China) Holdings Limited has issued a notice convening its annual general meeting (AGM) for 23 June 2026 at 10:30 a.m. at Le Meridien Hong Kong Cyberport. Key items to be tabled include:

1. Financial Statements and Dividends • Shareholders will vote on adoption of the audited consolidated financial statements and directors’ and auditor’s reports for the year ended 31 December 2025. • A final dividend and a special dividend for FY25 are proposed; if approved, payment is scheduled on or after 14 August 2026 to shareholders on record as of 2 July 2026. The register of members will be closed from 29 June 2026 to 2 July 2026 (both days inclusive) for dividend entitlement.

2. Board Composition and Remuneration • Re-election of executive directors Mr. Poon Ka Man Jason and Ms. Ng Minna, and independent non-executive director Mr. Ho Pak Chuen Brian. • Shareholders will authorise the board to set directors’ remuneration.

3. Auditor Appointment • Deloitte Touche Tohmatsu is nominated for re-appointment as external auditor, with remuneration to be fixed by the board.

4. Share Issuance and Repurchase Mandates • General mandate allowing the board to allot, issue or transfer up to 20% of the company’s issued shares (excluding treasury shares) during the mandate period. • Repurchase mandate permitting buy-backs of up to 10% of issued shares. • An extension mandate enabling the issue limit to be increased by the number of shares repurchased, capped at an additional 10%.

5. Key Timetable for AGM Participation • Share transfer books close 17 June 2026 to 23 June 2026 (both days inclusive). • Last day to lodge share transfers for AGM voting rights: 16 June 2026 by 4:30 p.m. • Record date for AGM voting: 23 June 2026.

Proxy forms must be lodged with Computershare Hong Kong Investor Services by 10:30 a.m. on 21 June 2026.

The board currently comprises Executive Directors Ms. Poon Wai (Chairman), Mr. Poon Ka Man Jason and Ms. Ng Minna; Non-executive Directors Mr. Katsuaki Shigemitsu and Mr. Yew Yat On; and Independent Non-executive Directors Mr. Lo Peter, Mr. Jen Shek Voon and Mr. Ho Pak Chuen Brian.
