China National Nuclear Power to Divest Assets and Liabilities Related to Sanmen Units 5 and 6 Project

China National Nuclear Power Co.,Ltd. (SH: 601985) has announced an asset transfer plan. The company's controlling subsidiary, Sanmen Nuclear Power Co., Ltd., intends to transfer the relevant assets and liabilities of its project branch company for Sanmen Nuclear Power Units 5 and 6 to Sanmen Second Nuclear Power Co., Ltd. via a non-public agreement, with the transaction valued at 702 million yuan.

According to the announcement, Sanmen Second Nuclear Power Co., Ltd. was established as a joint investment on March 20, 2025, by Sanmen Nuclear Power Co., Ltd. and Zhejiang Tianhuang Pharmaceutical Co., Ltd. Sanmen Nuclear Power holds a 90% stake, while Tianhuang Pharmaceutical holds the remaining 10%. This new entity, Sanmen Second Nuclear Power, is designated as a subsidiary of Sanmen Nuclear Power responsible for the investment, construction, and operation of Sanmen Units 5 and 6.

The proposed transaction involves Sanmen Nuclear Power transferring the assets and liabilities of its project branch specifically related to Units 5 and 6 to Sanmen Second Nuclear Power for the stated price of 702 million yuan.
