Transaction details • SPA-I (15 Apr 2025): Purchase of three mould sets from Shenzhen Rongshengfu Technology Co., Ltd. for RMB 1.70 million (HK$1.89 million). • SPA-II (12 Nov 2025; amended 24 Apr 2026): Purchase of 11 mould sets from the same vendor for RMB 1.87 million (HK$2.07 million). • SPA-III (3 Dec 2025; amended 24 Apr 2026): Purchase of 11 mould sets from Dongguan Jujin Plastic Technology Co., Ltd. for RMB 2.36 million (HK$2.61 million).
Aggregate consideration totals RMB 5.92 million (HK$6.57 million). Payments are fully funded by internal resources; each SPA requires 50 % advance payment, with balance settled after acceptance tests. SPA-III includes a staged settlement option linking 30 % of the price to future purchases of products produced from the moulds.
Regulatory classification • Each SPA individually, and SPA-I plus SPA-II on an aggregated basis, trigger a “discloseable transaction” status—highest percentage ratio > 5 % but < 25 %—under Chapter 14 of the Listing Rules. • No shareholder approval is required; only announcement and reporting obligations apply. • Management initially mis-classified the contracts as revenue items. Remedial actions include enhanced director training, tighter internal controls, and mandatory legal consultation before future transactions.
Strategic rationale Management expects locally sourced moulds to streamline production, reduce lead times compared with prior French suppliers, and stabilise cost volatility, thereby strengthening the Group’s manufacturing competitiveness.
Vendors Both Shenzhen Rongshengfu Technology Co., Ltd. and Dongguan Jujin Plastic Technology Co., Ltd. and their ultimate owners are confirmed as independent third parties.
Completion is scheduled once delivery, inspection and final payments are concluded.
