ROBOTPHOENIX Replaces Joint Company Secretary and Secures Extended HKEX Compliance Waiver

Robotphoenix Intelligent Technology Co., Ltd. (ROBOTPHOENIX) announced that Ms. Shum Kit Han resigned as Joint Company Secretary and Hong Kong Process Agent with effect from 23 September 2026 due to work-related changes. The Board confirmed that Ms. Shum had no disagreements and no other matters require shareholder attention.

Ms. Choi Man Yee was appointed on the same day to assume both roles. Ms. Choi, a manager of corporate services at Tricor Services Limited (Vistra Group), possesses more than 10 years of corporate governance experience, holds bachelor’s and master’s degrees in business administration and corporate governance respectively, and is a Chartered Secretary and Chartered Governance Professional.

The Stock Exchange of Hong Kong granted a new waiver on 18 September 2026 that allows Ms. Yang Xu to continue serving as Joint Company Secretary—assisted by Ms. Choi—through 17 May 2029, the balance of the original waiver period. The waiver will be revoked upon any material breach of the Listing Rules. Before expiry, the Company must demonstrate that Ms. Yang has gained sufficient experience to perform company secretary duties without further waiver.

The Board currently comprises four executive, three non-executive and four independent non-executive directors.
