Hong Kong Weiye Software Acquires 74.91% of SG Group Holdings, Launches Mandatory Unconditional Cash Offer

Hong Kong Weiye Software Co., Limited (“Hong Kong Weiye Software” or “the Offeror”) has completed the purchase of 23.97 million shares in SG Group Holdings Limited (“SG Group” or “the Company”) for HK$198.52 million. The transaction, executed on 23 June 2026 under a previously announced Share Purchase Agreement, gives the Offeror and its concert parties control of 74.91% of SG Group’s issued share capital.

The acquisition obliges the Offeror to extend a mandatory unconditional cash offer for all remaining SG Group shares not already owned or agreed to be acquired by the Offeror and its concert parties, in accordance with Rule 26.1 of the Hong Kong Takeovers Code. DL Securities (HK) Limited will act on behalf of the Offeror, with Dakin Capital Limited serving as joint financial adviser.

A Composite Document detailing the terms of the offer, the expected timetable, and advisory letters from both the Independent Board Committee and an Independent Financial Adviser will be dispatched to SG Group’s independent shareholders within 21 days of 4 June 2026, subject to regulatory approval.

Shareholders are urged to review the forthcoming Composite Document thoroughly before deciding on acceptance of the offer and to exercise caution when dealing in SG Group securities. Further updates regarding the despatch timetable will be announced by Hong Kong Weiye Software and SG Group as required.
