SF Holding: Director He Jie Donates 0.12 Million A-Shares to Shenzhen One Foundation for Rural Children Reading Project

On 18 September 2026, SF Holding Co., Ltd. disclosed that Director, Chief Financial Officer and Deputy General Manager Mr. He Jie has executed a Share Donation Agreement with Shenzhen One Foundation (Shenzhen One Foundation Charity Fund). Under the agreement, He Jie will donate his entire personal holding of 122,000 A-shares—equivalent to 0.002% of SF Holding’s total share capital—to support the foundation’s Rural Children Reading Pack initiative.

The donated shares comprise 30,500 unrestricted shares and 91,500 shares currently subject to senior-management lock-up provisions. In accordance with Chinese securities regulations, only unlocked shares can be transferred immediately. Consequently, the parties have agreed to a “batch transfer” mechanism: each year they will sign a Share Donation Confirmation Agreement covering the volume of shares that have become freely tradable, with the initial transfer for 2026 set at 30,500 shares. Remaining locked shares will be transferred once statutory restrictions lapse or when He Jie no longer holds an executive position subject to trading limits.

Following completion of the full donation, He Jie’s shareholding in SF Holding will fall from 122,000 shares (0.002% of outstanding equity) to zero. The company stated that the transaction will not affect its control structure and is fully compliant with the PRC Company Law, Securities Law, Shenzhen Stock Exchange rules and other applicable regulations.

SF Holding’s board will continue to monitor the donation process and ensure timely disclosure of subsequent transfer milestones, in line with regulatory requirements.
