LENS controllers to invest ≥RMB100 million for additional A-share stake within six months

Bulletin Express04-17

Lens Technology Co., Ltd. (LENS) disclosed that its de facto controllers, Ms. Chau Kwan Fei and Mr. Cheng Chun Lung, will expand their equity position through Changsha Qunxin Investment Consulting Company Limited, an entity they control.

Qunxin Company currently holds 288.03 million A shares, equal to 5.46 % of LENS’s total share capital. The new plan earmarks not less than RMB100 million for open-market purchases via centralized bidding, with no preset price range. The purchases must be completed within six months from 17 April 2026, excluding regulatory blackout periods; any trading suspension will extend the timetable accordingly.

Funding for the acquisition will come from Qunxin’s proprietary or raised capital. The controlling shareholders last increased their stake more than 12 months ago and have not reduced holdings in the past six months.

Regulatory undertakings include adherence to insider-trading prohibitions, observance of lock-up requirements, and continued compliance with listing rules. Stated risks centre on potential funding delays or changes in Qunxin’s corporate status that could halt the programme.

The board affirmed that the proposed increase will not affect LENS’s listing status or public float and pledged timely disclosure of any progress or changes.
