China Traditional Chinese Medicine Announces Board Reshuffle: Liu Haijian Resigns, Chen Kun Appointed as Non-Executive Director

China Traditional Chinese Medicine Holdings Co. Limited confirmed that Non-Executive Director Liu Haijian resigned with immediate effect on 15 May 2026 due to a change in work arrangements. Liu also vacated his position on the Board’s Remuneration and Evaluation Committee. The company stated that Liu had no disagreements with the Board and no issues requiring shareholder attention.

Concurrent with the resignation, the Board appointed Chen Kun, aged 54, as a Non-Executive Director and member of the Remuneration and Evaluation Committee, effective the same day. Chen holds a bachelor’s degree in law from the PLA University of International Relations (1994) and has previously held senior compliance and supervisory roles at the People’s Bank of China and the Central Commission for Discipline Inspection. Since December 2025, he has served as a full-time external director at China National Pharmaceutical Group Co., Ltd. (CNPGC), the company’s controlling shareholder.

Chen’s initial term will run for three years, subject to re-election at the first AGM following his appointment and thereafter to retirement by rotation in line with the company’s articles of association. His director’s remuneration will be determined and paid by CNPGC; he is not expected to receive any director’s fee from China Traditional Chinese Medicine.

Following these changes, the Board comprises 12 directors: three executive directors (Yang Jun, Li Hongjian, Peng Li), five non-executive directors (Li Xiangrong, Zu Jing, Xu Jinghui, Chen Kun, Huang Hao) and four independent non-executive directors (Xie Rong, Yu Tze Shan Hailson, Qin Ling, Li Weidong).
