Win Hanverky keeps share count steady at 1.28 billion in June; new option plan opens door to 128.44 million shares

Win Hanverky Holdings Limited submitted its Monthly Return for the period ended 30 June 2026 on 3 July 2026, confirming a stable capital structure throughout the month.

Authorised capital unchanged • The company retains an authorised share capital of 3.00 billion ordinary shares at HKD 0.10 par value, equal to HKD 300.00 million, with no increase or decrease recorded in June.

Issued shares and public float • Issued shares (excluding treasury) remained at 1.28 billion. • No treasury shares were held, bought back or cancelled. • The public float complied with the Main Board’s minimum 25% requirement.

Share option position • No options were outstanding or exercised under the 2006 and 2016 share option schemes. • A new share option scheme approved on 18 June 2026 currently has no grants but allows the issue or transfer of up to 128.44 million shares, representing approximately 10% of the existing issued share base. • Consequently, no shares were issued and no proceeds were raised from option exercises during the month.

Other equity instruments • The company reported no warrants, convertibles, Hong Kong Depositary Receipts or other share-issuance arrangements in June.

Overall, Win Hanverky’s share capital and treasury position were unchanged during the month, with the newly adopted 2026 option scheme providing additional issuance capacity for future flexibility.
