DL Holdings GP to Subscribe for 19.05 Million Shares of YTME

DL Holdings GP (01709) announced that on December 5, 2025 (after trading hours), the company entered into a subscription agreement with YTME. Under the agreement: (i) DL Holdings GP conditionally agreed to subscribe, and YTME conditionally agreed to allot and issue a total of 19.05 million YTME shares at a subscription price of CHF 0.42 per share (approximately HKD 4.10), with a total consideration of USD 10 million. The payment will be partially settled in cash and partially through the allotment and issuance and/or transfer of consideration shares by DL Holdings GP to YTME at the agreed price upon completion.

(ii) YTME will grant DL Holdings GP a call option, allowing the company to acquire up to 3.81 million shares of YTME at CHF 0.42 per share (approximately HKD 4.10 per share) or a total of around USD 2 million during the option period. Upon completion, YTME will hold approximately 0.885% of DL Holdings GP’s enlarged issued share capital (excluding treasury shares).

Assuming no changes in the total issued shares from the announcement date to the completion date (other than the issuance and/or transfer of consideration shares), the 17.90 million consideration shares will represent about 0.893% of DL Holdings GP’s issued share capital as of the announcement date (excluding treasury shares) and approximately 0.885% of the enlarged issued share capital post-completion (excluding treasury shares). The total nominal value of the consideration shares will be HKD 179,000.
