Leveraging designer resources to empower the new "ceiling" business. Author | Fang Lu. Can you buy a listed company's subsidiary for just 1 yuan? Is that a "big bargain"? This calculation can't just look at the transaction price; it also needs to consider hidden costs, such as personnel, debt, and so on. On October 26, Zhejiang Youpon Integrated Ceiling Co.,Ltd. (002718.SZ), which focuses on integrated ceilings, 5K wood wall panels, integrated balconies, versatile cabinets, hanging walls, and other products, with the core strategy of "designing better ceilings and walls," announced plans to transfer its controlling subsidiary Fuqiu Intelligence's equity for 1 yuan. This subsidiary has been continuously losing money in recent years and was insolvent as of the end of September 2026. This nearly symbolic price is less a sale and more a decisive severance after consideration—the new actual controller, just months into the role, cut off this chronically bleeding old asset in the most straightforward way. At the same time, on the 26th, Youpon Ceiling released multiple pieces of information—the 1-yuan sell-off, the third-quarter report disclosure, the appointment of a deputy general manager, and the relocation of its office address from Haiyan, Zhejiang, to Hongkou, Shanghai. These actions all landed on the same day. Image source: Youpon Ceiling announcement screenshot. Youpon Ceiling is the pioneer of the integrated ceiling sector, having established a foothold thanks to the real estate boom. Now control has passed to the cross-industry Shi Qiming, and the direction of its transformation is naturally a market focus. Bai Wenxi, vice chairman of the China Enterprise Capital Alliance and chief economist for China, believes, "Youpon Ceiling's situation is essentially a 'real estate cycle dividend company' forced to switch from a manufacturing logic to a 'design + digital' logic after the cycle reversed. The new management is doing subtraction, but the addition has not yet been verified." Currently, the subtraction is visible, while whether the addition can work remains to be answered by time. As of the close on October 30, Youpon Ceiling closed at 78.18 yuan per share, down 1.31%, with a total market value of 10.12 billion yuan.

Clearing Old Burdens for One Yuan

On October 26, Youpon Ceiling disclosed plans to transfer approximately 62.31% equity of Zhejiang Fuqiu Intelligence to Shanghai Qiming Hexin Industrial for 1 yuan. Fuqiu Intelligence was not an acquired asset but a project incubated by Youpon Ceiling itself. On February 18, 2019, Youpon Ceiling, as one of the initiators, jointly with several natural person shareholders, established the company. Registered within the Youpon Zhongding Industrial Park, it focused on the R&D and production of smart appliances and electronic components, representing Youpon's attempt that year to expand into smart home appliances supporting ceiling products. However, this incubation project performed poorly. As of the end of September 2026, Fuqiu Intelligence's owner's equity had turned negative. After the transaction is completed, the company will no longer be included in Youpon Ceiling's consolidated financial statements, and subsequent losses will no longer drag down the listed company's performance. Youpon Ceiling also disclosed that the transaction price of 1 yuan must be paid by the transferee within 3 days after the agreement is signed, demonstrating the decisiveness of this asset disposal. In Bai Wenxi's view, Fuqiu Intelligence's failure is not accidental but has clear sample significance. He believes that Fuqiu Intelligence, established in 2019, long-term loss-making, and cleared for 1 yuan in 2026, is a typical failure sample of a building materials company "expanding along the industrial chain but lacking industrial capability"—having manufacturing and customers but lacking R&D iteration, channel independence, and economies of scale in smart appliances, ultimately becoming inefficient support. Image source: Youpon Ceiling official website screenshot. In short, Youpon Ceiling is strong in manufacturing, but in the cross-industry smart appliance sector, it has neither the R&D capability for continuous iteration nor independent market channels, ultimately reduced to unprofitable internal support. In this sense, clearing Fuqiu Intelligence for 1 yuan is the new management's first step in "subtracting" from existing assets. Bai Wenxi stated that this is indeed the new management's "starting point for business reshuffling"—first cutting off long-term bleeding pseudo-synergistic assets to recover management energy. But a single disposal does not equal comprehensive restructuring; the real indicator lies in what follows: whether to continue cleaning up non-core subsidiaries, whether to restructure the sales system, and whether to turn AI/designer resources into quantifiable revenue. In other words, this 1-yuan transfer itself is of limited significance; the real focus is whether it is just the beginning of a larger move. Image source: Canned Gallery.

Main Business Pressure Remains

The underlying reason for Youpon Ceiling's proactive clearing of subsidiaries is the ongoing pressure on its main business. Looking at the five-year operating performance from 2021 to 2025, Youpon Ceiling's revenue peaked at the 1-billion-yuan stage in 2023, then fell back for two consecutive years in 2024 and 2025, failing to sustain its growth momentum. Profitability fluctuations were even more prominent; during the five years, losses were recorded in 2021 and 2024, and full-year net profit in 2025 was only about 12.3705 million yuan, with profit volume significantly narrowed. Image source: Juchao.com—Youpon Ceiling financial statement screenshot. Regarding this performance, Bai Wenxi believes that a 333 million yuan loss in 2021, a 112 million yuan loss in 2024, and revenue of only 498 million yuan in 2025 (nearly halved from the peak), with the engineering channel dragged down by real estate and retail failing to grow premium. The root causes are the real estate downturn, industry involution, product homogenization, combined with credit impairment and rigid expenses. These figures reveal the severity of the problem: losses are not occasional but continuous structural deterioration; revenue has nearly halved from its peak, the engineering channel has shrunk along with real estate, and the retail channel, which should have been a hedge, has never grown enough brand premium. Image source: Youpon Ceiling official website screenshot. Behind this is the reality that the entire industry is deeply tied to the real estate cycle and demand continues to contract. Integrated ceilings belong to the home decoration supporting category, with demand highly dependent on the new home delivery market. As the real estate industry downturn continues, new home renovation demand keeps shrinking, directly compressing the overall ceiling industry pie. At the same time, the existing renovation market has lower barriers, with many peers flooding in, price wars intensifying, and product homogenization severe, further squeezing corporate profit margins. Shrinking demand combined with industry involution, plus credit impairment and rigid expenses, makes Youpon Ceiling's original main business growth logic unsustainable. Pressure on the main business is also an important background driving this round of control change. When the founding team's years of operation still could not reverse the performance decline, introducing a new actual controller and adjusting business strategy became a path for Youpon Ceiling to try to break through. And the new actual controller's first step after taking office is precisely to clear long-term loss-making existing assets and prepare for a lighter load. Image source: Canned Gallery.

Sector Welcomes New Owner

Youpon Ceiling was co-founded by Shi Shenxiang and Luo Lianqin. In 2004, Shi Shenxiang took the lead in developing and launching the integrated ceiling solution, pioneering this new home decoration sub-sector. During its development, Youpon Ceiling led the compilation of industry standards, is an important chairman unit of the industry, has accumulated more than 500 valid patents, and is the "first integrated ceiling stock on the A-share market," witnessing and driving the entire integrated ceiling industry from small to large. The turning point occurred at the end of 2025. On December 30, 2025, Shi Shenxiang, Luo Lianqin, and their holding platform Shanghai Changsheng signed a share transfer agreement with Mingsheng Intelligence, Shi Qiming, and Wuhan Mingshuwan, agreeing that the transferors would collectively transfer 38.8214 million shares of the listed company, accounting for 29.99% of total share capital, at a price of 29.41 yuan per share, with a total transfer amount exceeding 1.1 billion yuan, accompanied by the transferee's tender offer for 15.01% of the listed company's shares. The transferee promised that the acquired company shares would not be transferred within 18 months after the transaction is completed. Youpon Ceiling pointed out in the summary of the tender offer report that the company mainly engages in integrated ceiling and other businesses, is a downstream of the real estate industry, and in recent years has faced certain operational pressure due to industry influences. The key arrangement of the transaction lies in the design of voting rights. After the transfer is completed, Shi Shenxiang and Luo Lianqin still retain some shares, but voluntarily give up voting rights for all remaining shares, thereby handing over control of the listed company. In February 2026, the share transfer was completed, and the company's actual controller changed to Shi Qiming's side; in April of the same year, the board of directors was re-elected, Shi Shenxiang stepped down as chairman and exited the management team. His son Shi Jian retained a director seat and remained on the company's board. Regarding this governance structure of "handing over control but not exiting cleanly," Bai Wenxi believes it is a transitional arrangement of "handing over control without exiting cleanly." The advantage is a smooth transition and retaining industry experience; the risk is that decision-making responsibilities and rights are not fully symmetrical, and if strategic differences arise, it is easy to form friction where "the new actual controller bears the results while the old family retains influence." The founding team retaining equity and family members still holding director seats, on one hand, ensures a smooth transition and leaves room for industry experience; on the other hand, it may plant hidden dangers of asymmetric decision-making responsibilities and rights—once the new and old sides diverge strategically, friction is inevitable. The new actual controller Shi Qiming is a cross-industry entrant. He is a "post-80s" generation with dual master's degrees in Computer Science from the University of Melbourne and Computer Information Technology from RMIT University. Tianyancha shows he is the chief engineer of the State Administration of Press, Publication, Radio, Film and Television's Publishing Integration Development (Wuhan) Key Laboratory, a researcher at the Australian Academy of Science, and a core member of the Australian Information Technology Laboratory. Master of Computer Science from the University of Melbourne, Master of Computer Information Technology from RMIT University. He has received the Victorian Government's Senior Certification for Science and Technology Talent; he once served as vice president of Sina Weibo's Australian headquarters (Victoria), one of the youngest vice presidents in the Sina system, with multiple successful cases in internet operations and internet product planning and implementation. In addition, Shi Qiming is a co-founder of Wuhan University of Technology Digital Communication Engineering Co., Ltd. (abbreviated as Digital Communication Group), deeply engaged in the digital publishing sector; Digital Communication Group focuses on publishing integration digitalization and has launched BOOKSGPT, a vertical AI large model for the publishing industry. Notably, on September 15, 2026, Youpon Ceiling's deputy general manager Hu Jiang resigned, and on October 26, Zhang Yi, aged 44, was appointed deputy general manager. Zhang Yi served as general manager of Alipay Australia from 2014 to 2018; since 2018, he has been executive director of Jiezhou Network Technology (Shenzhen) Co., Ltd. Youpon Ceiling's announcement pointed out that in important traffic entry points such as interior designers and professional recommendation channels, the listed company previously had limited resources to deepen. The acquirer has years of rich experience in digital training and services for professional editors and readers, including editors and readers of interior design books, thus accumulating a large number of designer resources and possessing the resources to expand designer traffic channels. The summary of the tender offer report disclosed the acquirer's initial vision: on one hand, enhance Youpon Ceiling's sales performance through designer traffic and recommendations; on the other hand, have designers deeply participate in Youpon Ceiling's R&D and design to assist in product upgrades; in addition, through experience replication and fission, help Youpon Ceiling build a digital comprehensive service system for designers and users, enhancing designer and user stickiness. Image source: Canned Gallery. Regarding the prospects of Shi Qiming's empowerment, while affirming the imaginative space, Bai Wenxi also pointed out the difficulty of implementation: "Designer resources + AI/digitalization are exactly the 'traffic and product definition capabilities' Youpon lacks most, theoretically able to open up the C-end recommendation chain and increase customer unit price. But digital experience in publishing technology does not equal building materials delivery capability; the key to implementation lies in three things: designer conversion rate, smart product gross margin, and whether the supply chain can handle customized demand." In other words, the resources have theoretical empowerment value, but whether digital publishing experience can migrate to building materials delivery still needs to pass the triple test of designer conversion rate, product gross margin, and supply chain capacity. As for the direction of main business reshaping, in Bai Wenxi's view, stop doing heavy-asset electrical appliances; more reliable are four paths: first, existing housing renovation and old ceiling replacement; second, "ceiling + lighting + fresh air + sensors" smart space modules; third, high-end customized retail driven by designer channels; and fourth, prefabricated interior components. The priority to note is to secure cash flow first, then pursue smart premiums. This means the new management should step out of the previous path of "heavy-asset expansion into electrical appliances" and instead focus on existing renovation, smart space modules, high-end customized retail, and prefabricated components, first safeguarding cash flow before seeking smart premiums. From the sector pioneer's change of ownership to the new leader initiating asset reorganization, Youpon Ceiling is undergoing a profound transformation. Clearing Fuqiu Intelligence for 1 yuan is just the beginning of this adjustment. Bai Wenxi emphasized that Youpon Ceiling is now in a window period of "clearing the old real estate model and trial-and-error with the new design model." Short-term, look at stopping the bleeding; medium-term, look at channel restructuring; long-term, look at whether smart space can turn from concept to repeat purchases. For this cross-industry actual controller skilled in digital content operations, whether he can truly land AI and designer resources in the traditional manufacturing industry of integrated ceilings and reshape the company's development path remains to be tested by time.
